1. About this agreement
This End-User License Agreement and Terms of Use (the “Agreement”) governs your use of the FoundERPrise CFWM QuickBooks Integration (the “Integration”), which is operated by CFWM 2024, Inc., doing business as Closet Factory of West Michigan (“we,” “us,” or “our”) on behalf of its own QuickBooks Online accounting account.
The Integration is part of FoundERPrise Systems, an operating-system platform Closet Factory of West Michigan uses internally. The Integration is not a consumer-facing product and is not offered or sold to third parties.
2. Permitted use
The Integration is licensed for the internal business use of CFWM 2024, Inc., its authorized employees, and its authorized service accounts. Permitted activities include:
- Reading data from QuickBooks Online via the official Intuit OAuth 2.0 API.
- Producing accounting, reporting, reconciliation, and payroll outputs for CFWM’s internal use.
- Cross-referencing QBO records with other authorized internal data sources (for example, Salesforce sales records and CFWM’s payroll workbook).
- Where explicitly authorized by named CFWM personnel on a per-row basis, writing limited corrective updates back to QuickBooks Online — subject to the safety contract described in our internal “QBO Write Safety Plan.”
3. Restrictions
You agree not to use the Integration to:
- Access QuickBooks Online data for any purpose unrelated to CFWM’s internal business operations.
- Resell, sublicense, redistribute, or otherwise commercially exploit the Integration or the data it accesses.
- Reverse-engineer, decompile, or disassemble the Integration, except to the limited extent applicable law expressly permits despite this restriction.
- Attempt to gain unauthorized access to systems, accounts, or data that the Integration connects to.
- Disable, circumvent, or interfere with security, audit-logging, or rate-limiting features of the Integration.
- Use the Integration in violation of applicable law, including accounting, tax, and privacy laws.
4. Data access and authorization
The Integration accesses QuickBooks Online only via OAuth 2.0 authorization granted by the QuickBooks Online account owner. The categories of data the Integration may access, and the purposes for which it may use them, are described in our Privacy Policy.
The QuickBooks Online account owner may revoke the Integration’s authorization at any time from within QuickBooks Online. Revocation immediately terminates the Integration’s ability to call Intuit’s API.
5. No accounting, legal, or tax advice
The Integration is an operational tool, not a professional advisor. Reports, reconciliations, and calculations produced by the Integration are intended as operational aids for authorized CFWM personnel and do not constitute accounting, legal, or tax advice. CFWM relies on qualified accounting and tax professionals for those services.
6. Your responsibilities
As an authorized user of the Integration, you are responsible for:
- Keeping your credentials confidential and not sharing them with unauthorized parties.
- Using the Integration only for the business purposes assigned to your role.
- Promptly reporting any suspected security incident or unexpected behavior to support@closetfactorywm.com.
- Following all written procedures and approval gates before triggering any write to QuickBooks Online.
7. Security and acceptable use
The Integration runs on infrastructure we operate with enterprise-grade security controls. We require that authorized users follow basic operational hygiene: do not attempt to bypass authentication, audit logging, or approval gates; do not export QBO data to unauthorized systems; do not introduce malicious code into the Integration environment.
8. Disclaimers
The Integration is provided “as is” and “as available.” To the maximum extent permitted by applicable law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.
We do not warrant that the Integration will be uninterrupted or error-free, that defects will be corrected, or that the Integration is free of viruses or other harmful components.
9. Limitation of liability
To the maximum extent permitted by applicable law, in no event will CFWM 2024, Inc. or its officers, directors, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses, arising out of or in connection with your use of, or inability to use, the Integration.
In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability is limited to the maximum extent permitted by applicable law.
10. Termination and revocation of access
We may suspend or terminate access to the Integration at any time and for any reason, including violation of this Agreement or revocation of the underlying QuickBooks Online authorization.
Upon termination, your right to use the Integration ceases immediately. Sections of this Agreement that by their nature should survive termination (including disclaimers, limitations of liability, and governing law) will survive.
11. Governing law
This Agreement is governed by the laws of the State of Michigan, United States of America, without regard to its conflict-of-laws principles. Any dispute arising under or relating to this Agreement will be brought in a state or federal court of competent jurisdiction located in the State of Michigan, and you consent to the exclusive jurisdiction and venue of those courts.
12. Changes to this agreement
We may modify this Agreement from time to time. The “Effective” date at the top reflects the current revision. Continued use of the Integration after a change constitutes acceptance of the revised Agreement.
